Agency Trade Agreement

Version 2026-09-27

This Agency Trade Agreement (the Agreement) is between Premium Choice Travel DMCC, a company licensed by the Dubai Multi Commodities Centre Authority under licence number [●], whose registered office is at [●], Dubai, United Arab Emirates, trading as Premium Choice Travel Designers (Premium Choice, we, us), and the travel agency named in the account application (the Agency, you).

You accept this Agreement when an authorised person ticks the acceptance box on the account application, or signs a copy of it. We record who accepted, when, and which version.

1. Definitions

Platform means the Premium Choice Travel Designers portal, the application programming interface (API) and any related tools we provide.

Supplier means the hotel, bed bank, airline, transfer operator, activity provider or other third party that actually provides a travel service.

Travel Service means a hotel stay, flight, transfer, activity or other product offered on the Platform.

Booking means a reservation for a Travel Service made through the Platform, including a held booking.

Net Rate means the price the Platform shows your agency for a Travel Service. It is the price you pay us, including any taxes shown as included.

Client means your customer, the person or business you sell a Travel Service to.

Traveller means a person named on a Booking.

User means an individual your agency authorises to use the Platform.

Business Day means a day other than Saturday, Sunday or a public holiday in Dubai.

Conditions means our Booking and Supplier Conditions, Terms of Use, Data Processing Addendum and, where you use the API, the API and Acceptable Use Terms, each as published at premiumchoicetraveldesigners.com/legal. The Conditions form part of this Agreement.

2. What this Agreement covers

2.1 We give your agency access to the Platform to search, price, hold and book Travel Services from Suppliers for resale to your Clients.

2.2 We arrange Travel Services on behalf of Suppliers. The Supplier provides the Travel Service and is responsible for it. Your contract with your Client is yours: we are not a party to it, and you are responsible to your Client for what you sell them.

2.3 This Agreement is non-exclusive. You may use other suppliers, and we may work with other agencies.

2.4 If the Conditions and this Agreement conflict, this Agreement wins, unless a Condition says expressly that it overrides it. A signed Credit Facility Addendum wins over both on credit and payment.

3. Opening and keeping an account

3.1 Your account starts as pending verification. While it is pending, you may search and see Net Rates, but you cannot hold or book.

3.2 Before we approve your account, you give us the information and documents we ask for. That includes your legal name, trade or tourism licence, registered address and VAT status. We may verify them with the issuing authority or an official register. We decide whether to approve an account at our discretion and record who decided, when and on what basis.

3.3 You warrant that the information you give us is true and complete. You must tell us within 10 Business Days of any change, including to your licence, ownership, VAT registration or authorised signatories.

3.4 You must hold every licence and registration the law requires for your business throughout this Agreement, including a valid tourism or trade licence where you operate. If a licence expires or is suspended, you must stop booking until it is renewed.

4. Users and security

4.1 Each User must have their own login. You must not share logins. Your account owner is responsible for inviting and removing Users and setting their roles and booking limits.

4.2 You are responsible for everything done through your account and your API keys, unless it was caused by our breach of this Agreement. Keep passwords, one-time codes and API keys secret. Tell us at once if you suspect unauthorised use.

4.3 We may require multi-factor authentication for Users with owner, manager or finance roles.

5. Prices and your Client price

5.1 You buy Travel Services at the Net Rate shown at the time of booking. Before you book, the Platform shows the total, what is included, taxes and fees where they apply, and the cancellation terms.

5.2 You set the price you charge your Client. It is your decision, and any profit or loss on it is yours. If you send your Client a payment link through the Platform, the Client pays the price you set. We pass to you the difference above the Net Rate, as described in the Booking and Supplier Conditions.

5.3 A price is not guaranteed until the Booking is confirmed. If a Supplier changes a price before confirmation, we show you the new price and do not book without your agreement.

5.4 Net Rates are confidential to your agency (see clause 12). You must not publish them, or a price that reveals them, to the public, a price comparison site or a metasearch engine. You must not resell them to another travel business without our written consent.

6. Payment

6.1 Unless we agree a credit facility in a signed Credit Facility Addendum, you pay for every Booking in advance. You pay from your wallet balance, by card through our payment provider's hosted page, or by bank transfer to the account shown on our invoice.

6.2 We never ask for card details in the account application, by email or by telephone. Card payments are taken only on our payment provider's hosted pages.

6.3 A wallet balance is money you have paid us in advance for Bookings. It is not a deposit account and earns no interest. We refund an unused balance on request when this Agreement ends, less any amounts you owe us.

6.4 If a payment to us is reversed, charged back or fails, you must pay the amount at once. We may cancel or suspend affected Bookings where the Supplier has not yet been paid.

6.5 Amounts overdue under this Agreement may be set off against your wallet balance. [Late payment interest: to be confirmed with counsel.]

6.6 Prices are in the currency shown. Where we convert a currency, the rate used is shown on the Booking.

7. Bookings

7.1 How holds, confirmation, on-request bookings, amendments and cancellations work is set out in the Booking and Supplier Conditions. Those rules apply to every Booking.

7.2 You must give us accurate Traveller names and the details a Supplier needs, such as flight numbers and required questions. You must pass on to your Clients:

  • the Travel Service details;
  • the cancellation terms;
  • any Supplier conditions we show you, including airline fare rules and conditions of carriage;
  • passport, visa and health requirements.

7.3 For a hotel we contract directly, the Booking is confirmed to you once the hotel acknowledges it. Until then, the Platform shows it as waiting for the hotel.

8. Taxes and invoices

8.1 We issue tax invoices in line with UAE VAT law. Taxes are shown as the Platform describes them at booking.

8.2 You tell us your VAT registration status and, if you are registered, your Tax Registration Number and registered name. You are responsible for your own tax on the prices you charge your Clients.

9. Your obligations

9.1 You must:

  • comply with all laws that apply to your business, including consumer protection, data protection, anti-money-laundering, sanctions and anti-bribery laws;
  • not use the Platform for Bookings you do not intend to use, speculative holds, or to test availability at scale;
  • not book for any person or destination subject to sanctions that apply to you or to us;
  • deal with your Clients' complaints first. Pass to us promptly any complaint about a Supplier, with the details we need.

9.2 You must not present yourself as us or as a Supplier, or use our name or logo except as we allow in writing.

10. Our obligations

10.1 We will:

  • provide the Platform with reasonable skill and care;
  • pass your Bookings to Suppliers promptly and accurately;
  • tell you promptly of any change or cancellation a Supplier makes that we learn about;
  • provide support during the hours published on the Platform [●], and an emergency contact for Travellers in resort.

10.2 The Platform may sometimes be unavailable for maintenance or for reasons outside our control. We will try to give notice of planned maintenance.

11. Data protection

11.1 Each party complies with applicable data protection law, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.

11.2 When you give us Traveller data to make a Booking, the Data Processing Addendum applies. You confirm you have told Travellers how their data will be used and, where needed, obtained their consent. This covers passing their data to us and to Suppliers.

11.3 Our Privacy Notice explains how we handle the personal data of your Users.

12. Confidentiality

12.1 Each party keeps confidential the other's non-public information received under this Agreement. For you, that includes Net Rates, our commercial terms and the Platform's non-public features. Each party uses that information only for this Agreement.

12.2 This does not apply to information that:

  • is public other than through a breach of this Agreement;
  • was already lawfully known to the receiving party; or
  • must be disclosed by law or a regulator. In that case the disclosing party gives notice where the law allows.

12.3 These obligations survive for three years after this Agreement ends.

13. Liability

13.1 Suppliers provide Travel Services and are responsible for them. We are not liable for a Supplier's acts or omissions, but we will use reasonable efforts to help you and your Travellers resolve a problem with a Supplier.

13.2 Neither party is liable to the other for loss of profit, revenue, business or goodwill, or for indirect or consequential loss.

13.3 Our total liability arising from or in connection with a Booking is limited to the Net Rate paid for that Booking. Our total liability under this Agreement in any 12 months is limited to [AED ●]. [Cap to be confirmed with counsel.]

13.4 Nothing in this Agreement limits liability that cannot be limited by law, including for fraud or wilful misconduct.

13.5 You indemnify us against claims by your Clients or Travellers, and against losses, fines and reasonable costs we incur, arising from:

  • your breach of this Agreement;
  • your breach of law; or
  • information you gave us that was inaccurate.

14. Suspension and termination

14.1 Either party may end this Agreement on 30 days' written notice.

14.2 We may suspend your account or end this Agreement at once by notice if:

  • you breach it materially and do not put the breach right within 7 days of notice;
  • you fail to pay an amount due;
  • your licence expires or is withdrawn;
  • you become insolvent; or
  • we reasonably suspect fraud, sanctions exposure or misuse of the Platform.

14.3 When this Agreement ends:

  • Bookings already confirmed stay in place under their terms, unless we agree otherwise;
  • you pay every amount due;
  • we return your unused wallet balance less any amounts you owe;
  • each party returns or deletes the other's confidential information, except as the law requires it to be kept.

15. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control. Examples are natural disasters, epidemics, war, terrorism, government action, strikes and failures of public networks. Cancellation charges and refunds in those cases follow the Supplier's terms, as described in the Booking and Supplier Conditions.

16. Changes

We may change the Conditions, and this Agreement, by giving at least 30 days' notice through the Platform or by email, unless a change is required sooner by law or a Supplier. A change does not affect Bookings already confirmed. If you do not accept a change, you may end this Agreement before it takes effect.

17. General

17.1 You may not assign this Agreement without our written consent. We may assign it to a company in our group or to a buyer of our business, by notice.

17.2 Notices are given by email to the addresses on your account and to [legal notices email ●]. A notice is received on the next Business Day after sending.

17.3 This Agreement, with the Conditions, is the whole agreement between the parties about its subject. Neither party relies on any statement not set out in it.

17.4 If any provision is invalid, the rest remains in force.

17.5 A delay in exercising a right is not a waiver of it.

17.6 This Agreement may be accepted and signed electronically, as permitted by UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.

17.7 This Agreement is written in English. If it is translated, the English version prevails, unless the law requires otherwise.

18. Governing law and disputes

18.1 This Agreement and any dispute arising from or in connection with it are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates.

18.2 The parties will first try to resolve a dispute by good-faith discussion between senior representatives for 30 days. After that, the courts of Dubai have exclusive jurisdiction.

Terms of Use

Version 2026-09-27

These terms govern the use of the Premium Choice Travel Designers website, portal and related services provided by Premium Choice Travel DMCC (Premium Choice, we). The portal is for travel businesses only. It is not a consumer service.

Your agency's use of the Platform is also governed by the Agency Trade Agreement and the Booking and Supplier Conditions. If they conflict with these terms, they win.

1. Who may use the portal

1.1 Only people authorised by an agency with an account may use the portal, each with their own login. You must be at least 18 and able to bind your agency.

1.2 The person who opens an account confirms that they are authorised to accept the Agency Trade Agreement for the agency.

2. Your account

2.1 Keep your password and any one-time codes to yourself. Do not share your login, even with colleagues. Your account owner can invite them individually.

2.2 Tell us at once at [security contact email ●] if you think someone else has used your account.

2.3 We may require multi-factor authentication, and may sign you out or suspend a login to protect an account.

3. Acceptable use

You must not:

  • use the portal other than to make genuine bookings and run your agency's business with us;
  • scrape, copy or systematically extract rates, content or availability, or use automated tools other than our API under the API terms;
  • try to get round security, access another agency's data, or probe or test the Platform's vulnerabilities without our written permission;
  • upload anything unlawful, harmful or infringing, or anything containing malware;
  • put an unreasonable load on the Platform, or interfere with it;
  • misrepresent who you are or who you act for.

4. Content and intellectual property

4.1 The Platform, its software, design and our trade marks belong to us or our licensors. Hotel descriptions, photographs and other supplier content belong to the suppliers and are licensed to us.

4.2 You may use supplier content shown in the portal only to sell the Travel Services concerned to your Clients, and only while it is current. You must not use it to build a competing product or database.

4.3 Anything you upload to us, such as verification documents, stays yours. You give us the right to use it to run your account and meet our obligations.

5. Availability and changes

We work to keep the Platform available and accurate, but we do not promise it will be uninterrupted or error-free. We may change or withdraw features. Availability and prices come from suppliers and can change until a booking is confirmed.

6. Liability

Our liability to your agency is governed by the Agency Trade Agreement. Nothing in these terms limits liability that cannot be limited by law.

7. Suspension

We may suspend or end access for any user who breaches these terms, or where we reasonably suspect fraud or misuse.

8. Law

These terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. The courts of Dubai have exclusive jurisdiction.

Booking and Supplier Conditions

Version 2026-09-27

These conditions apply to every Booking your agency makes through Premium Choice Travel Designers with Premium Choice Travel DMCC (Premium Choice, we). They form part of the Agency Trade Agreement, and words defined there have the same meaning here. Where a Booking screen shows a more specific rule for a particular rate, that rule applies to that Booking.

1. Who provides the service

1.1 Hotels, airlines, transfer operators, activity providers and bed banks (Suppliers) provide the Travel Services. We arrange them on the Suppliers' behalf.

1.2 Each Supplier's own conditions also apply to its Travel Service. That includes an airline's conditions of carriage and fare rules, and a hotel's house rules. We show you the Supplier conditions we receive. You must pass them on to your Client.

2. Who may book

2.1 Only an approved account may hold or book. While an account is pending verification, it may search and see Net Rates.

2.2 Your agency may set booking limits for its Users. A Booking above a User's limit needs approval from a manager in your agency before it can be made. One approval covers one Booking.

3. Prices

3.1 The price shown is your Net Rate: what your agency pays us. It includes the taxes and fees the Platform shows as included.

3.2 Some local taxes and fees are payable by the Traveller directly to the Supplier, such as a city or tourism fee collected by a hotel. We show them where the Supplier tells us of them.

3.3 We check the price with the Supplier again before we confirm. If it has changed, we show you both prices and book only if you accept the new one.

3.4 Where a price is converted from another currency, the rate we used is recorded on the Booking.

4. Holds

4.1 You may hold a refundable hotel rate that is not on request. A hold books the room for real, and nothing is charged while it is held. It lasts until 24 hours before the rate's free-cancellation deadline, or for 4 days, whichever is sooner. The Booking shows the exact time.

4.2 An airline may allow a fare to be held. Where it does, the hold lasts until one hour before the airline's own payment deadline, or for 24 hours, whichever is sooner. The Booking says whether the airline guarantees the price during the hold. You cannot add extra bags or seats to a held flight.

4.3 To keep a held Booking, confirm it before the hold ends. Payment is taken when you confirm. A hold that is not confirmed in time is released at no charge.

4.4 When you confirm a held flight, we pay the airline at that moment. If the price has changed or the airline has released the hold, nothing is charged and the Booking is not made.

5. Confirmation

5.1 Most Bookings are confirmed when you book. Some rates are on request: the Supplier must accept them first. We tell you as soon as they do, or decline them if they do not.

5.2 For a hotel we contract directly, the Booking is confirmed to you when the hotel acknowledges it. Until then, the Platform shows it as waiting for the hotel, and the voucher is not yet available. If the hotel cannot accept the Booking, our operations team contacts you with options.

5.3 A Supplier may not answer before a timeout, so that we cannot tell whether a Booking was made. In that case we hold the payment and establish the outcome with the Supplier. We never send the Booking again while the outcome is unknown. The Booking then becomes confirmed, or fails with a full refund.

5.4 A hotel's own confirmation number may arrive after the Booking is confirmed. When it does, we add it to the Booking and issue an updated voucher.

6. Payment

6.1 A Booking paid from your wallet is paid when it is made. If the wallet balance, plus any credit limit on that wallet, cannot cover it, the Booking is not made.

6.2 A prepaid Booking not paid at the time of booking must be paid by its payment deadline. The deadline is 3 days before the rate's free-cancellation date. If that date is sooner, the deadline is 24 hours after booking.

We remind you 5 days and 1 day before the deadline. An unpaid Booking is released at the deadline if releasing it still costs nothing. A non-refundable Booking is never released automatically: our team contacts you instead.

6.3 On a credit facility, a Booking falls due 15 working days (Monday to Friday) after check-out or the end of the service, unless your Credit Facility Addendum says otherwise.

6.4 If you use a client payment link, your Client pays the client price you set. The Booking is paid once our payment provider confirms the payment to us. Being redirected back to the Platform is not confirmation. The difference above the Net Rate is credited to your wallet.

6.5 Tax invoices are issued for confirmed Bookings. They become available to you once the Booking is paid, or, on credit, once it is settled.

7. Changes

7.1 You may amend or cancel a hotel Booking through the Platform only before the check-in date, counted on the hotel's local calendar. From the day of arrival, contact our operations team.

7.2 When you amend a stay, we show you the price difference and any amendment charge, and change the Booking only once you confirm. The Supplier's amendment charge is passed on at cost. A larger stay is charged to your wallet. A smaller stay is credited to it.

7.3 An amended Booking with a directly contracted hotel is confirmed again by the hotel from a revised order.

7.4 Name changes, date changes and extra services on flights, transfers and activities are subject to the Supplier's rules. Some cannot be changed at all.

8. Cancellation

8.1 Each rate has its own cancellation terms, shown before you book and on the Booking. For a hotel, "today" is the hotel's local date.

8.2 Before you cancel, the Platform shows what cancelling costs now and what is refunded. A cancellation that costs something needs you to accept that cost.

8.3 A non-refundable rate is charged in full whenever it is cancelled.

8.4 A cancellation refund goes back to where the Booking was paid from:

  • Wallet: to the wallet.
  • Client payment link: to the card your Client used, for what we were paid. The amount your agency added above the Net Rate stays with your agency. What you refund your Client is between you and them.

8.5 A flight is cancelled on the airline's terms. Any airline penalty and our service fee are shown before you book, as the share of the price that is not refunded.

8.6 If a Supplier cancels or cannot provide a Travel Service, we tell you as soon as we know. We refund what we recover from the Supplier, and help you find an alternative.

9. Flights

9.1 Passenger names must match the travel documents exactly. The airline may refuse a passenger whose name does not match, and a name correction may not be possible or may be charged.

9.2 Extra bags and seats are sold at the airline's price plus our service charge, shown before you book. They are paid with the ticket and are subject to the airline's rules.

9.3 We pass dates of birth, contact details and passport details to the airline to issue the ticket. We do not keep them on the Booking. Ticket numbers and the airline's booking reference are kept.

9.4 Check-in, travel documents, visas and health requirements are the Traveller's responsibility. You must tell your Client about them.

10. Transfers and activities

10.1 For an airport, port or station pickup, give the arrival time and the flight, ship or train number. The driver's waiting time is shown on the Booking. A missed pickup caused by wrong details or a Traveller's delay beyond that time may be charged in full.

10.2 Some activities require answers to the provider's questions, such as a pickup hotel. We cannot book without them.

10.3 Meeting points, times and inclusions are as the provider describes them on the Booking and voucher.

11. Vouchers and documents

11.1 A voucher is available once a Booking is confirmed. Give it to the Traveller. When a Booking changes, we issue a new version of the voucher and keep earlier versions.

12. Loyalty points

Where your agency takes part in our loyalty programme:

  • points are earned on eligible paid Bookings once the stay or service is over;
  • points expire as the programme rules state;
  • points can pay part of a Booking in the programme currency, up to the share the programme allows;
  • points have no cash value and cannot be transferred;
  • points are restored in proportion if a Booking paid with them is cancelled.

We may change or end the programme on 30 days' notice. Points already available remain usable for at least that period.

13. Problems during travel

If something goes wrong in resort, the Traveller or your agency should contact the Supplier and our emergency contact [●] at once. That gives the Supplier the chance to put it right. A complaint raised only after travel may limit what the Supplier will do. Send written complaints to us within 28 days of the end of the service, with the details and evidence.

Data Processing Addendum

Version 2026-09-27

This Data Processing Addendum (DPA) forms part of the Agency Trade Agreement between Premium Choice Travel DMCC (Premium Choice, we) and your agency. It applies when your agency gives us personal data of Travellers and Clients to make and manage Bookings.

1. Roles

1.1 For Traveller and Client data you give us to fulfil a Booking, your agency is the controller and we process that data on your behalf, as your processor. This covers making the Booking, passing it to the Supplier, issuing documents, handling changes, cancellations and support.

1.2 Suppliers are independent controllers of the data they receive to provide a Travel Service. An airline, for example, uses passenger data under its own obligations to carriers and border authorities.

1.3 We are an independent controller of booking records we keep to meet our own legal, tax, accounting and fraud-prevention obligations.

2. Your instructions

2.1 We process Traveller data only on your documented instructions. Using the Platform to make and manage a Booking is such an instruction, as is this Agreement. The exception is where the law requires otherwise; we will tell you of that requirement unless the law forbids it.

2.2 You confirm you have a lawful basis to give us the data, and that you have given Travellers the information the law requires. That includes that their data will be passed to us and to Suppliers, including Suppliers outside their country.

2.3 Give us only the data a Booking needs. Do not put special category data, such as health information, in free-text fields unless a Traveller needs a specific accommodation and has agreed to it being shared.

3. Our obligations

We will:

  • ensure people authorised to process the data are bound by confidentiality;
  • apply appropriate technical and organisational security measures. These include encryption in transit, database-enforced separation between agencies, individual logins, access limited to staff who need it, and audit records;
  • tell you without undue delay, and in any case within 72 hours of becoming aware, of a personal data breach affecting your Travellers' data, with the information you reasonably need;
  • help you, taking into account the nature of the processing, to respond to Travellers exercising their rights and to meet your security, breach-notification and impact-assessment obligations;
  • when the Agreement ends, delete or return Traveller data. The exception is booking records we must keep by law, which we keep securely for the required period and use only for that purpose;
  • make available the information reasonably needed to show we comply with this DPA. [Audit rights: to be confirmed with counsel.]

4. Sub-processors

4.1 You authorise us to use sub-processors to deliver the Platform. We use:

Sub-processorServiceLocation

SupabaseDatabase and file storageSingapore
ResendEmail deliveryUnited States
Stripe (when card payments are enabled)Card paymentsUnited States, Ireland

komoot (Photon)Address search for transfersGermany

4.2 We will give you at least 14 days' notice of a new sub-processor through the Platform or by email. You may object on reasonable data-protection grounds. If we cannot resolve the objection, you may end the Agreement.

4.3 We impose data-protection obligations on each sub-processor equivalent to those in this DPA, and remain responsible for them.

5. International transfers

Traveller data may be transferred to Singapore, where the Platform is hosted, and to the countries of our sub-processors and of the Suppliers who provide each Travel Service. We make those transfers as UAE Federal Decree-Law No. 45 of 2021 permits and, where the EU or UK GDPR applies, with appropriate safeguards such as standard contractual clauses. [Transfer mechanism to be confirmed with counsel.]

6. Duration

This DPA lasts as long as we process Traveller data for your agency.
